Welcome to BuzzStar! These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and 51820 LLC, a limited liability company doing business as BuzzStar, and BuzzStar, LLC (collectively referred to as "BuzzStar," "Company," "we," "us," or "our"). These Terms govern your access to and use of the BuzzStar mobile application, website, and any related services, features, content, or products (collectively, the "Service" or "Platform").

By downloading, installing, accessing, or using BuzzStar, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

1. ACCEPTANCE OF TERMS

By creating an account, accessing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines referenced herein. These Terms apply to all users, including fans, viewers, Influencers (as defined below), content creators, and any other visitors or participants on the Platform.

1.1 Eligibility

You must be at least thirteen (13) years of age to use the Service. If you are under the age of majority in your jurisdiction (but at least 13), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The Service is not directed to, and may not be used by, children under the age of 13. We do not knowingly collect personal information from children under 13. If we discover that a user is under 13, we will promptly terminate their account and delete associated data.

1.2 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform, email, or push notification. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the revised Terms. If you do not agree with any modification, your sole remedy is to discontinue use of the Service and terminate your account.

2. DEFINITIONS

For purposes of these Terms, the following definitions apply:

"Content" means any and all audio, video, images, text, comments, graphics, recordings, live streams, and other materials created, uploaded, shared, transmitted, or otherwise made available through or in connection with the Service.

"Influencer" means any celebrity, content creator, or public figure who registers on the Platform to provide video calls, interactions, or other engagement with fans through the Service.

"User Content" means any Content created, submitted, posted, or transmitted by a User through the Service, including but not limited to video call recordings, messages, profile information, comments, and feedback.

"Third-Party Services" means services, platforms, APIs, or tools provided by third parties (such as Twilio, payment processors, cloud providers, and social media platforms) that are integrated with or used in connection with the Service.

3. USER ACCOUNTS

3.1 Account Creation

To access certain features of the Service, you must create an account by providing accurate, current, and complete information, including your email address, username, and payment details as applicable. You agree to promptly update your account information to keep it accurate and complete. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether or not authorized by you.

3.2 Account Security

You agree to immediately notify us at support@buzzstar.io if you become aware of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to secure your account credentials.

3.3 Account Suspension or Termination

We reserve the right to suspend, disable, or permanently terminate your account at our sole discretion, with or without prior notice, for any reason, including but not limited to: violation of these Terms; fraudulent, abusive, or illegal activity; failure to pay; platform misuse; or conduct that harms other users or the integrity of the Service.

4. USE OF THE SERVICE

4.1 Permitted Use

BuzzStar enables fans to engage in video calls with Influencers and pay for such interactions. The Service is intended for lawful, personal, non-commercial use only, in compliance with these Terms and all applicable laws and regulations.

4.2 Prohibited Activities

You agree that you will not, and will not permit any third party to, engage in any of the following prohibited activities:

(a) Impersonate any person or entity, or falsely state or misrepresent your identity, age, or affiliation with any person or entity;

(b) Engage in conduct that is illegal, abusive, harassing, threatening, hateful, discriminatory, obscene, defamatory, or otherwise objectionable;

(c) Send, facilitate, or encourage spam, unsolicited messages, chain letters, phishing, or fraudulent communications of any kind;

(d) Transmit any malware, viruses, worms, Trojan horses, or other harmful or disruptive code or content;

(e) Use any automated means, including bots, scripts, crawlers, or scrapers, to access, interact with, or extract data from the Service without our prior written authorization;

(f) Attempt to interfere with, disrupt, or compromise the integrity or security of the Service or its infrastructure, including servers, networks, or databases;

(g) Violate any applicable local, state, national, or international law or regulation, including telecommunications regulations and consent requirements for communications;

(h) Use the Service for any commercial purpose not expressly authorized by BuzzStar in writing;

(i) Circumvent, disable, or otherwise interfere with any security, technical, or access-control features of the Service;

(j) Engage in any activity that violates Twilio's Acceptable Use Policy, Messaging Policy, or any other applicable Third-Party Service policies;

(k) Use the Service to transmit illegal, harmful, or regulated content, including but not limited to content that promotes violence, exploitation, or illegal substances; or

(l) Encourage or assist any other person in doing any of the foregoing.

5. COMMUNICATIONS, MONITORING, AND THIRD-PARTY PROVIDERS

5.1 Communication Guidelines

All interactions conducted through the Service, including video calls, messaging, notifications, and other communications, must comply with our community guidelines, these Terms, and all applicable laws. Users are expected to treat all other participants with respect and professionalism.

5.2 Third-Party Communication Providers

Certain features of the Service, including but not limited to video calling, voice communication, and messaging (such as SMS notifications, reminders, and alerts), are powered by third-party providers, including Twilio, Inc. ("Twilio"). By using the Service, you acknowledge and agree that your communications may be processed, transmitted, and facilitated by such Third-Party Services, and that your use is subject to their respective terms, policies, and acceptable use requirements, including Twilio's Acceptable Use Policy (available at twilio.com/legal/aup) and Messaging Policy.

5.3 Monitoring, Review, and Recording

You expressly acknowledge and consent that BuzzStar and its Third-Party Service providers (including Twilio) may monitor, review, record, store, analyze, and use communications conducted through the Service for any of the following purposes: (a) ensuring safety and security of users; (b) detecting, preventing, and addressing spam, fraud, abuse, and illegal activity; (c) enforcing compliance with these Terms, our community guidelines, and applicable laws; (d) improving and optimizing the Service; (e) complying with legal obligations, law enforcement requests, or regulatory requirements; and (f) any other purpose disclosed in our Privacy Policy.

5.4 Messaging Consent and Compliance

If the Service includes any messaging features (including SMS/MMS notifications, push notifications, email alerts, or in-app messaging), you agree to: (a) provide and maintain valid consent for receiving such messages; (b) comply with all applicable laws and regulations governing electronic communications, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act; (c) honor all opt-out requests promptly (e.g., by replying "STOP" to SMS messages); and (d) not use any messaging features for spam, unsolicited marketing, or any unauthorized commercial purpose.

6. RECORDING, CONTENT RIGHTS, AND PROMOTIONAL USE

6.1 Consent to Recording

By using the Service, you expressly acknowledge, consent to, and agree that BuzzStar may record, capture, store, and reproduce all video calls, audio interactions, live streams, and other Content created or transmitted through the Platform ("Recordings"). This recording may occur automatically and without additional notice at the time of each interaction. Your continued use of the Service constitutes your ongoing consent to such recording.

6.2 License Grant to BuzzStar

By creating, uploading, sharing, transmitting, or otherwise making available any User Content or by participating in any video call or interaction on the Platform, you hereby grant to BuzzStar (including 51820 LLC, d/b/a BuzzStar, and BuzzStar, LLC, and their respective affiliates, successors, and assigns) a worldwide, non-exclusive, irrevocable, perpetual, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, edit, create derivative works from, distribute, publicly display, publicly perform, broadcast, stream, transmit, publish, and otherwise exploit such User Content and Recordings, in whole or in part, in any and all media, formats, channels, and distribution methods now known or hereafter developed, including but not limited to:

(a) Within the BuzzStar application and Platform, including for playback, sharing, and recommendation features;

(b) On BuzzStar's social media accounts and pages across all platforms, including but not limited to Instagram, TikTok, YouTube, X (formerly Twitter), Facebook, Snapchat, LinkedIn, and any future social media platforms;

(c) In promotional, marketing, and advertising materials for BuzzStar, including commercials, trailers, compilations, highlight reels, press kits, and sponsored content;

(d) On BuzzStar's website, blog, newsletters, email campaigns, and other owned media;

(e) In third-party media, press coverage, partnerships, and co-branded content; and

(f) For any other lawful purpose related to the operation, promotion, improvement, or commercialization of the Service.

6.3 Representations and Warranties Regarding Content

You represent and warrant that: (a) you own or have obtained all necessary rights, licenses, consents, and permissions to grant the license described in Section 6.2; (b) your User Content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other proprietary or legal rights; (c) your User Content does not contain any material that is defamatory, obscene, illegal, or otherwise objectionable; and (d) you have obtained any required consents from individuals appearing in your Content.

6.4 Waiver of Rights

To the fullest extent permitted by applicable law, you irrevocably waive any and all moral rights, rights of attribution, rights of integrity, rights of privacy, rights of publicity, and any other similar rights (including any right to inspect or approve uses of your Content) with respect to User Content and Recordings used by BuzzStar pursuant to the license granted herein. You acknowledge that BuzzStar is not obligated to provide you with attribution, compensation, or prior approval for any use of your Content or Recordings under this license.

6.5 Content Removal

While you may request removal of specific User Content by contacting support@buzzstar.io, you acknowledge that: (a) previously distributed, shared, or sublicensed copies of such Content may continue to exist and be used; (b) BuzzStar retains the right to use Recordings and Content for archival, legal compliance, and dispute resolution purposes; and (c) removal may not be technically feasible for Content that has been incorporated into compilations, promotional materials, or third-party distributions.

7. INFLUENCER OBLIGATIONS

7.1 Role of Influencers

Influencers provide video call services and other interactive experiences to fans through the Platform and may earn payments, tips, or other compensation for their participation. Influencers are independent contractors and not employees, agents, or representatives of BuzzStar. Influencers must comply with these Terms, all applicable laws and regulations, and BuzzStar's community guidelines.

7.2 Content and Conduct Standards

Influencers are solely responsible for ensuring that all Content they create, share, or participate in through the Service complies with these Terms, including all prohibited activity restrictions. Influencers shall not create, upload, or share any Content that is illegal, infringing, harmful, exploitative, or otherwise in violation of these Terms. BuzzStar reserves the right to review, moderate, remove, or restrict access to any Influencer Content at any time for any reason.

7.3 Consent to Recording and Promotional Use

By registering as an Influencer on BuzzStar, you expressly consent to the recording of all video calls and interactions conducted through the Platform and grant BuzzStar the full license described in Section 6.2, including the right to use Recordings of your likeness, voice, image, and persona for promotional, marketing, and commercial purposes across all media channels. This consent survives termination of your account.

8. PAYMENTS AND TRANSACTIONS

8.1 Payment Processing

Payments for video calls, tips, and other transactions are processed through third-party payment providers (e.g., Apple Pay, PayPal, Stripe, or other providers as applicable). By making a payment, you agree to the terms and conditions of the applicable payment provider. BuzzStar does not store full credit card numbers or banking details directly.

8.2 Refund Policy

Payments for completed video calls, tips, and other transactions are generally non-refundable. Refund requests may be considered on a case-by-case basis for qualifying circumstances, such as verified technical issues that prevented service delivery. Contact support@buzzstar.io for refund inquiries. BuzzStar's decision on refund requests is final.

8.3 Influencer Earnings and Tax Obligations

Influencers are solely responsible for reporting and paying all applicable taxes on income earned through the Service. BuzzStar may issue tax forms (e.g., IRS Form 1099) as required by law. We reserve the right to withhold, offset, or delay payments in cases of suspected fraud, Terms violations, chargebacks, or pending investigations.

9. INTELLECTUAL PROPERTY

9.1 BuzzStar Ownership

The Service, including all software, code, designs, text, graphics, logos, trademarks, service marks, trade names, domain names, and other intellectual property associated with BuzzStar, is owned by or licensed to 51820 LLC d/b/a BuzzStar and BuzzStar, LLC (or their respective licensors). All rights not expressly granted in these Terms are reserved. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any BuzzStar intellectual property without our prior written consent.

9.2 User-Generated Content License

The license you grant to BuzzStar with respect to User Content is described in Section 6.2. You retain ownership of your original User Content, subject to the license and rights granted herein.

9.3 DMCA and Copyright Complaints

If you believe that Content on the Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (DMCA) by contacting support@buzzstar.io with the information required under 17 U.S.C. § 512(c)(3). We will respond to valid DMCA notices in accordance with applicable law.

10. PRIVACY

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, share, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference.

11. TERMINATION

11.1 Termination by You

You may terminate your account at any time by contacting support@buzzstar.io or through the account settings in the app. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations and the licenses and consents granted under these Terms.

11.2 Termination by BuzzStar

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service immediately ceases. Sections that by their nature should survive termination (including Sections 6, 9, 12, 13, 14, and 15) shall survive.

11.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms will immediately terminate; (b) you must cease all use of the Service; (c) BuzzStar retains all rights under Section 6.2 with respect to User Content and Recordings created prior to termination; and (d) we may delete your account data in accordance with our Privacy Policy and data retention practices.

12. DISCLAIMERS AND LIMITATIONS OF LIABILITY

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BUZZSTAR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT ENDORSE, VERIFY, OR ASSUME RESPONSIBILITY FOR ANY USER CONTENT, INFLUENCER CONTENT, OR THIRD-PARTY CONTENT AVAILABLE THROUGH THE SERVICE.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUZZSTAR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS (INCLUDING 51820 LLC AND BUZZSTAR, LLC) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BUZZSTAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12.3 Third-Party Services Disclaimer

Certain features of the Service rely on Third-Party Services, including Twilio for communications and video functionality, and third-party payment processors. Your use of such features is additionally subject to the applicable Third-Party Service's terms and policies (e.g., Twilio's Acceptable Use Policy at twilio.com/legal/aup). BuzzStar is not responsible for the acts, omissions, availability, or performance of any Third-Party Service, and shall not be liable for any damages or losses arising from your use of or reliance on Third-Party Services.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BuzzStar (including 51820 LLC, d/b/a BuzzStar, and BuzzStar, LLC), and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms or any applicable law or regulation; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (e) any dispute between you and any other User or Influencer.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Los Angeles County, California, or remotely via video conference at the election of either party. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND BUZZSTAR AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction in Los Angeles County, California, to protect intellectual property rights or to prevent irreparable harm. Claims within the jurisdiction of small claims court may also be brought in such court.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and BuzzStar regarding the Service and supersede all prior or contemporaneous agreements, negotiations, representations, and proposals, whether written or oral.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15.3 Waiver

The failure of BuzzStar to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of BuzzStar.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without BuzzStar's prior written consent. BuzzStar may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

15.5 Force Majeure

BuzzStar shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet or telecommunications failures, or third-party service outages.

15.6 Notices

We may provide notices to you via the Platform, email, push notification, or other reasonable means. Notices to BuzzStar must be sent to support@buzzstar.io.
